Outsourcing Model Service: Terms & Conditions

This Outsourcing Model Service Contract ("Contract") governs the provision of outsourcing services by Jobbi to Companies ("Client") utilizing Jobbi's platform. This Contract is supplementary to and should be read in conjunction with Jobbi's general Terms and Conditions ("Terms"), which are incorporated herein by reference.

1. Definitions

  • "Client" refers to any company, organization, or individual utilizing Jobbi's platform to access Outsourcing Services.
  • "Jobbi" refers to Jobbi SA de CV, a legal entity operating the Jobbi platform.
  • "Outsourcing Services" refers to services provided by Jobbi under this Contract, including but not limited to:
    • Contract creation and management for Workers.
    • Payroll processing and administration for Workers.
    • Issuance of invoices and tax documentation related to Worker compensation.
    • Administration of Worker benefits and approved expenses.
  • "Worker" refers to any individual who provides services through Jobbi's Outsourcing Services, classified as an independent contractor.
  • "Terms" refers to Jobbi's general Terms and Conditions.

2. Scope of Outsourcing Services

2.1 Jobbi will provide the following Outsourcing Services to the Client:

  • Contract Management: Jobbi will create and manage contracts with Workers, ensuring compliance with relevant legal requirements and Client specifications. These contracts will be substantially similar to the "Independent Contractor Agreement" provided, with modifications as necessary.
  • Payroll Processing: Jobbi will process Worker compensation and provide necessary tax documentation.
  • Onboarding and Offboarding: Worker onboarding and offboarding processes.
  • Providing payment channels and access to Workers.
  • Invoicing: Jobbi will issue invoices to the Client for Outsourcing Services and provide necessary tax documentation to both the Client and Workers.
  • Benefits Administration: Jobbi will administer Worker benefits and approved expenses, according to the Client's guidelines, including processing invoices provided by the worker.

2.2 The Client acknowledges that Jobbi's responsibilities under this Contract are limited to the provision of Outsourcing Services. The Client retains responsibility for:

  • Directing the Worker's day-to-day work and tasks.
  • Evaluating the Worker's performance.
  • Determining the Worker's scope of work and deliverables.

3. Worker Classification and Relationship

3.1 It is expressly understood and agreed that Workers provided through Jobbi's Outsourcing Services are independent contractors and not employees of Jobbi or the Client. This relationship is governed by an agreement substantially similar to the "Independent Contractor Agreement" provided.

3.2 Jobbi's role is limited to facilitating the engagement and providing Outsourcing Services.

3.3 The Client agrees to respect the Worker's status as an independent contractor and shall not treat the Worker as an employee.

4. Client Responsibilities

4.1 The Client agrees to:

  • Provide accurate and timely information to Jobbi regarding Worker compensation, benefits, and any other relevant details.
  • Approve invoices and expenses related to Worker compensation in a timely manner.
  • Comply with all applicable laws and regulations related to the Worker's work, including but not limited to labor laws, safety regulations, and data protection laws.
  • Adhere to Jobbi's Terms, particularly the responsibilities outlined for Companies (Employers).

5. Fees and Payment

5.1 The Client agrees to pay Jobbi the fees for Outsourcing Services as outlined in Jobbi's pricing structure, as detailed in the Terms.

5.2 In addition to the fees outlined in the Terms, the Client is responsible for:

  • Worker compensation, including salary, benefits, and approved expenses.
  • Any applicable taxes or social contributions related to Worker compensation, if any.

5.3 Jobbi reserves the right to modify its pricing structure with prior written notice to the Client.

5.4 Payment terms, including due dates and methods, are governed by Jobbi's Terms.

6. Intellectual Property

6.1 Intellectual property rights relating to any work product created by the Worker shall be governed by clauses in the agreement between Jobbi and the worker, which will be substantially similar to the "Independent Contractor Agreement."

6.2 The Client shall own all rights, title, and interest in any work product resulting from the services performed by the Worker for the Client.

7. Data Protection and Confidentiality

7.1 Jobbi is committed to protecting the privacy and security of Personal Data. Jobbi will comply with all applicable data protection laws and regulations, including but not limited to GDPR.

7.2 Jobbi's collection, use, and processing of Personal Data are governed by its Privacy Policy, which is incorporated herein by reference.

7.3 The Client and Jobbi agree to maintain the confidentiality of any confidential information shared between them, as well as any confidential information relating to the Worker or the Worker's work product.

8. Term and Termination

8.1 This Contract shall commence upon the Client's acceptance and shall continue until terminated as provided herein.

8.2 Either party may terminate this Contract upon [Number] days' written notice to the other party.

8.3 Jobbi may terminate this Contract immediately upon written notice to the Client if the Client:

  • Fails to make timely payments.
  • Breaches any material term of this Contract or the Terms.
  • Engages in any fraudulent or illegal activity.

8.4 Upon termination, the Client shall remain responsible for any outstanding payment obligations.

8.5 Upon termination, Jobbi will cooperate with the Client to ensure a smooth transition of services.

9. Liability and Indemnification

9.1 Jobbi's liability under this Contract shall be limited as set forth in the Terms.

9.2 The Client agrees to indemnify and hold Jobbi harmless from any claims, damages, or liabilities arising out of:

  • The Client's breach of this Contract or the Terms.
  • The Client's relationship with the Worker, including any disputes or claims related to the Worker's work.
  • The Client's failure to comply with applicable laws and regulations.

10. Dispute Resolution

10.1 Any disputes arising out of or relating to this Contract shall be resolved in accordance with the dispute resolution provisions in the Terms.

11. Governing Law

11.1 This Contract shall be governed by and construed in accordance with the laws of Jobbi's HQ location country, outlined in the Terms, unless otherwise required by mandatory applicable law.

12. Amendments

12.1 Jobbi reserves the right to amend this Contract at any time.

13. Entire Agreement

13.1 This Contract, together with Jobbi's Terms and Privacy Policy, constitutes the entire agreement between the parties relating to the Outsourcing Services.

14. Agreement to Terms

By using Jobbi's Outsourcing Services, the Client acknowledges that it has read, understood, and agrees to be bound by this Outsourcing Model Service Terms & Conditions and Jobbi's Terms and Conditions. Continued use of Jobbi constitutes ongoing acceptance of any future updates or modifications to these terms. If users do not agree with any part of these Terms & Conditions, they must discontinue use of the platform immediately.
